These Terms of Service (“Terms”) are a legal agreement between Guaide (“Guaide,” “we,” “us,” or “our”) and the merchant or business that installs or uses the Guaide application, the getguaide.com website, and the guides it generates (together, the “Service”). By installing the app, creating an account, or otherwise using the Service, you agree to these Terms. If you are agreeing on behalf of a company, you represent that you have authority to bind it.
Guaide converts product manuals and related media into mobile, step-by-step assembly guides. Merchants import selected products, upload manuals, review AI-drafted steps, publish guides, and generate QR codes. Consumers reach the published guide by scanning a code or opening a link, follow the steps on their phone, and may register a warranty at the end. Merchants also receive scan and drop-off analytics.
We may update, improve, or change features of the Service over time. We may also add, modify, or remove functionality, provided we do not materially reduce the core functionality of a paid plan during a billing period you have already paid for.
To use the Service you must have an active Shopify store (or use a supported standalone sign-in) and be capable of forming a binding contract. You are responsible for the accuracy of your account information, for maintaining the security of your access, and for all activity that occurs under your account.
Guaide offers a free tier and paid subscription plans (currently Starter and Growth). Paid plans are billed through Shopify’s Billing API and are subject to Shopify’s billing terms. By subscribing to a paid plan, you authorize the recurring charge described at checkout.
Plans differ in the number of guides you may have published at once and in the features available. Adding or importing products is not limited by plan; the plan limit applies to how many guides you may publish live at a time.
You retain all rights to the manuals, photos, videos, product information, and other materials you provide (“Merchant Content”). You grant Guaide a non-exclusive, worldwide license to host, process, reproduce, adapt, and display Merchant Content solely to operate and provide the Service to you — including sending it to our AI provider to generate steps and displaying published guides to your customers.
You represent that you own or have the necessary rights to your Merchant Content and to any product data you import, and that our use of it as described will not infringe or violate the rights of any third party or any law.
Guides are drafted using automated AI processing and are provided as a starting point. You are responsible for reviewing every guide before publishing, correcting inaccuracies, and approving anything the system flags as uncertain. Published guides reflect what you approved.
A Guaide guide is a convenience and does not replace the official product manual, safety warnings, or professional instructions. Guaide does not guarantee that a guide is complete, accurate, or suitable for any particular assembly, and is not responsible for the outcome of any assembly performed by a consumer.
The warranty-registration feature is a data-capture and lead-generation tool that records the information a customer submits and makes it available to you. Guaide does not administer, underwrite, honor, or fulfill any product warranty. All warranty obligations, terms, and communications with your customers are solely your responsibility, and you are the controller of the customer data collected.

The Service, including its software, design, branding, and content we provide (excluding Merchant Content), is owned by Guaide and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. We reserve all rights not expressly granted.
The Service operates with and depends on third-party platforms, including Shopify, Amazon Web Services, and Anthropic. Your use of those platforms is subject to their own terms and policies, and we are not responsible for their acts or omissions.
Our collection and use of information is described in our Privacy Policy, which is incorporated into these Terms. Where Guaide processes your customers’ personal data on your behalf, we do so as your processor under the roles described in the Privacy Policy.
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI-generated content will be accurate or complete.
To the maximum extent permitted by law, Guaide and its suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service, even if advised of the possibility of such damages.
To the maximum extent permitted by law, Guaide’s total liability for all claims relating to the Service in any twelve-month period will not exceed the greater of the amounts you paid to Guaide for the Service during that period or US $100.
You agree to defend, indemnify, and hold harmless Guaide and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Merchant Content, your products, your use of the Service, your relationship with your customers, or your breach of these Terms or applicable law.
These Terms apply while you use the Service. You may stop using the Service and uninstall the app at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if your use poses a risk to the Service or others.
On termination, your right to use the Service ends. Sections that by their nature should survive — including content licenses granted for already-published guides, disclaimers, limitations of liability, and indemnification — will survive. Data handling after termination is described in our Privacy Policy.
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Service after an update constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You and Guaide agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not otherwise subject to a required alternative process, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.
These Terms, together with the Privacy Policy, are the entire agreement between you and Guaide regarding the Service and supersede prior agreements on that subject. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control.
